Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 and Section 84(1)(b) of the Insolvency Act 1986 the following written resolutions were passed by the Members of the Company on 5 December 2019 as Special and Ordinary Resolutions:

Special Resolution

"That the Company be wound up voluntarily and that the liquidator be and is hereby authorised to divide and distribute among the members in specie all or any part of the Company's assets and to determine how such divisions shall be carried out as between the members.

Ordinary Resolution

"That Murzban Khurshed Mehta FCCA; FABRP (Office Holder Number 6224), of Citroen Wells, Devonshire House, 1 Devonshire Street, London W1W 5DR, be and is hereby appointed Liquidator for the purpose of such winding-up."
