By Written Resolution of the members of the above named company the subjoined resolutions were passed on 8 August 2017, viz:-

SPECIAL RESOLUTIONS

1. THAT the Company be wound-up voluntarily and Edward Kerr (office holder number: 9021) and Malcolm Cohen (office holder number: 6825) of Messrs BDO LLP, Two Snowhill, Birmingham, B4 6GA, be appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

2 THAT the Liquidators be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

ORDINARY RESOLUTION

1. THAT the Liquidators' fees be paid on a time costs basis and from the funds realised in the liquidation.
