“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily and that Nicholas John Edwards (IP No. 9005) of RSM UK Restructuring Advisory LLP, The Pinnacle, 170 Midsummer Boulevard, Milton Keynes MK9 1BP and Graham Bushby (IP No. 8736) of RSM UK Restructuring Advisory LLP, 25 Farringdon Street, London, EC4A 4AB be and are hereby appointed Joint Liquidators for the purposes of such winding up.”
