Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the sole member of the Company proposes that the following resolutions are passed as a written resolutions of the Company, having effect as a either special or ordinary resolutions ("the Resolutions"):-

SPECIAL RESOLUTION

1. 'That the Company be wound up voLuntarily.'

ORDINARY RESOLUTIONS

2. 'That Matthew Douglas Hardy, a Licensed insolvency Practitioner of Poppleton & Appleby, 30 St Paul’s Square, Birmingham B3 1QZ be and is hereby appointed Liquidator of the Company for the purposes of such winding up.'

3. That the Liquidator's fees will be fixed at ÂŁ2,000 plus disbursements and VAT.

4. That the Liquidator be authorised to draw Category 2 Disbursements.

SPECIAL RESOLUTION

5. 'That the Liquidator be and is hereby authorised to:-

(a) value any assets and determine how the division shall be carried out as between the Members or different classes of Members and,

(b) divide among the Members of the Company in specie the whole or any part of the assets of the Company.'
