At a General Meeting of the above named Company convened and held on 8 November 2022 the following special resolutions numbered 1 and 4 and ordinary resolutions numbered 2, 3, 5 and 6 were passed:

1. That the Company be wound up voluntarily;

2. That Douglas John Pinteau of WSM Marks Bloom LLP, Unit 2 Spinnaker Court, 1C Becketts Place, Hampton Wick, Kingston upon Thames KT1 4EQ be appointed Liquidator of the Company for the purposes of the voluntary winding-up;

3. That the Liquidator`s remuneration be fixed as a set amount of ÂŁ3,000 plus VAT and expenses, these fees to be paid as and when funds permit;

4. That the Liquidator be authorised to divide among the members of the Company in specie part or the whole of the assets of the company and may for that purpose, value any assets and determine how the division between members should be carried out;

5. That the Company`s books and records be held by the directors/members to the order of the Liquidator and may not be destroyed without the express permission of the Liquidator, which will not be granted until 12 months after the dissolution of the Company;

6. That the Certificate of Appointment of the Liquidator be signed by David Smith.
