SPECIAL RESOLUTION

that the Company be wound up voluntarily

ORDINARY RESOLUTIONS

1 That Gerard Patrick Crampsey, of AMI Financial Solutions Limited, St James Business Centre, Linwood Rd, Linwood, Paisley, PA3 3AT (IP Number: 023) be and is hereby appointed liquidator for the purpose of such winding-up and that any power conferred on him by the company, or by law, be exercisable by him alone.

2 That the Liquidator be and is hereby authorised to divide among the members in specie or kind the whole or any part of the assets of the company.
