At a General Meeting of the above-named Company, duly convened and held at Unit 6 Mapledean Industrial Estate, Maldon Road, Latchingdon, Chelmsford CM3 6LG on 15 March 2018 the following resolutions were duly passed as special and ordinary resolutions:

i. A special resolution that the company be wound up voluntarily.

ii. An ordinary resolution that Deborah Ann Cockerton of DCA Business Recovery LLP, 18 Clarence Road, Southend-on-Sea, Essex SS1 1AN, United Kingdom be and hereby is appointed liquidator of the company.

iii. That without prejudice to the generality of ordinary resolutions above the Liquidator be and is hereby authorised and directed pursuant to section 110 of the Insolvency Act 1986 to enter into and give effect to an agreement to be made between (1) Rosscar Holdings Limited ('the Company'), (2) D A Cockerton (As Liquidator of Rosscar Holdings Limited), (3) S P Bardwell Property Limited, (4) S P Bardwell Holdings Limited, and (5) S P Bardwell and L M Bardwell ('the Shareholders'), for the transfer by the Company acting by the Liquidator of:

a. the property known as Units 6, 7 and 8, Mapledean Industrial Estate and associated land and rentcharges as registered at HM Land Registry under title number EX746837, EX687199 and EX774259 be transferred to S P Bardwell Property Limited; and

b. The entire issued share capital of S P Bardwell Limited shall be transferred to S P Bardwell Holdings Limited in consideration of S P Bardwell Holdings Limited alloting shares to the Shareholders of the Company.
