The following resolutions are passed by Written Record of the decision of the sole member of the Company on 22 January 2016, pursuant to Section 357 of the Companies Act 2006, to be valid and effective as if passed as special and ordinary resolutions of the Company in a general meeting:

“That pursuant to section 84(1)(b) of the Insolvency Act 1986 the Company be wound up voluntarily and that pursuant to sections 84(1) and 91 of the Insolvency Act 1986 Ewen R Alexander, of Johnston Carmichael LLP, Bishops Court, 29 Albyn Place, Aberdeen, AB10 1YL, (IP No 6754) be appointed Liquidator of the Company for the purposes of winding up the Company’s affairs and distributing its assets.”
