At a general meeting of the Members of the above-named Company, duly convened, and held at Emerald House, 20-22 Anchor Road, Aldridge, Walsall WS9 8PH on 25 October 2018 at 10.30 am for the purposes of considering, and if thought fit, pass the following resolutions, numbers 1 and 3 as Special resolutions and 2, 4, 5 and 6 as Ordinary resolutions:

Resolutions

1. That the Company be wound up voluntarily; and

2. That Mr CHI Moore, of K J Watkin & Co., Emerald House, 20-22 Anchor Road, Aldridge, Walsall WS9 8PH be appointed Liquidator of the Company; and

3. That the Liquidator be authorised to distribute the following Company assets in specie;

100% interest in the property known as 38 Penzance Avenue, Wigston LE18 2HW

17.5% in the property known as 6 Pytchley Drive, Loughborough LE11 2RH;

and

4. That the Liquidator's fees will be charged as a fixed amount of ÂŁ4,000 plus disbursements and VAT; and

5. That the Liquidator be authorised to recover Category 2 expenses in accordance with his Practice Fee Recovery Policy disclosed to the Members; and

6. That the Liquidator be authorised to instruct M.A. Edwards Accountants Limited to prepare final accounts and to finalise the Corporation Tax liability for the Company and to pay their reasonable costs for doing so as an expense of the liquidation.
