"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities continue its business, and that is it is advisable to wind up the same under an insolvent winding up procedure and that Amie Johnson (IP No. 18570) of Greenfield Recovery Limited, Trinity House, 28-30 Blucher Street, Birmingham, B1 1QH be appointed as Liquidator for the purposes of such voluntary winding up."
