“That it has been proved to the satisfaction of the Meeting that the company cannot, by reason of its liabilities continue its business and that it is advisable to wind up the same and accordingly the company be wound up voluntarily and that Simon Gwinnutt (IP No. 8877) of Cirrus Professional Services Limited, Unit E, Wyvern Court, Stanier Way, Wyvern Business Park, Derby, Derbyshire, DE21 6BF be and is hereby appointed liquidator for the purposes of such winding-up.”
