At a General Meeting of the above named Company duly convened and held at 12.00 noon at KRE Corporate Recovery LLP, 1st Floor, Hedrich House, 14-16 Cross Street, Reading, Berkshire, RG1 1SN on 20 October 2017 the following resolutions were duly passed as a special and an ordinary resolution, respectively:

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily and that Sarah Helen Bell (IP No. 9406) and Philip Duffy (IP No. 9253) both of Duff & Phelps Limited, The Chancery, 58 Spring Gardens, Manchester, M2 1EW be and are hereby appointed joint liquidators of the Company for the purposes of such voluntary winding-up.”
