Special and Ordinary Resolutions

(Pursuant to Sections 21, 282 & 283 of the Companies Act 2006 and Section 84(1) of the Insolvency Act 1986).

At a General Meeting of the members of the above-named company, duly convened and held at 122 Hither Green Lane, Hither Green, London SE13 6QA on 30 July 2018 the following resolutions were duly passed as special and ordinary resolutions:

Special Resolutions:

i. "That the company be wound up voluntarily".

ii. "That the liquidator be and is hereby authorised to distribute among the member(s) in specie or in kind the whole or any part of the assets of the company".

iii. "That the liquidator be and is hereby authorised to pay or make an advance distribution to the members, if he considers it appropriate and prudent to do so, in an amount that he shall determine at his sole discretion, or, if in specie or in kind, of such of the assets as he shall determine in his sole discretion, in such proportions as he shall determine."

Ordinary Resolutions

i. "That Mansoor Mubarik ACCA FCCA FABRP (IP No 009667) of Capital Books (UK) Limited, be and is hereby appointed liquidator of the company".

ii. "The liquidator shall be authorised to draw his remuneration based upon his time costs by reference to the time properly given by the liquidator and his staff, in attending to matters arising in the liquidation at Capital Book's standard hourly rates, at the rates prevailing at the time the work is done, such remuneration to be paid out of the assets of the company and which may be drawn on account as and when funds permit without further recourse to members" provided such remuneration does not exceed ÂŁ4,000.00 plus VAT plus disbursements.

iii. "It is not Capital Books (UK) Limited's policy to draw "Category 2" disbursements.

iv. "That his act required or authorised under any enactment to be done by the liquidator may be done by him".
