A a general meeting of the above named company duly convened and held at Mincoffs Solicitors LLP, 5 Osborne Terrace, Jesmond, Newcastle upon Tyne, NE2 1SQ on 28 January 2022 the following resolutions were passed as a special resolution and an ordinary resolution respectively:

"That the company be wound up voluntarily and that Steven Ross (IP No. 9503) and Allan Kelly (IP No. 9156) both of FRP Advisory Trading Limited, Suite 5, 2nd Floor, Bulman House, Regent Centre, Newcastle Upon Tyne, NE3 3LS be and are hereby appointed Joint Liquidators for the purpose of the voluntary winding up."
