At a General Meeting of the Members of the above-named company, duly convened, and held on 3 April 2020 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

" That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities, continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure"

“That Steve Kenny and John Radford of KBL Advisory Limited, First Floor, Stamford House, Northenden Road, Sale, Cheshire M33 2DH be appointed as Joint Liquidators for the purposes of the voluntary winding up of the company. That the Joint Liquidators are to act jointly and severally.”
