At a general meeting of the Members of the above-named Company, duly convened, and held at Poppleton & Appleby, The Silverworks, 67-71 Northwood Street, Birmingham, B3 1TX on 20 June 2022, the following resolutions were passed: 1 and 3 as Special resolutions and 2, 4 and 5 as Ordinary resolutions.

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That Matthew Douglas Hardy of Poppleton & Appleby, The Silverworks, 67-71 Northwood Street, Birmingham, West Midlands, B3 1TX, be appointed Liquidator of the Company" and

3. "That the Liquidator be authorised to distribute any of the Company`s assets in specie" and

4. "That the Liquidator`s fees will be charged as a fixed amount of ÂŁ3,750 plus expenses and VAT" and

5. "That the Liquidator be authorised to instruct Griffiths & Pegg to finalise the Corporation Tax returns of the Company and to pay their reasonable costs for doing so as an expense of the Liquidation."
