RESOLUTION

THAT it has been proved to the satisfaction of this meeting that it is advisable to wind up the company and, accordingly, the company be wound up voluntarily, and that Edward Terence Kerr and Kerry Franchina Bailey, Authorised Insolvency Practitioners, of BDO LLP, Regent House, Clinton Avenue, Nottingham NG5 1AZ are hereby appointed Joint Liquidators for the purposes of such winding up, and are to act jointly and severally.
