At a general meeting of the Members of the above-named Company, duly convened, and held at Waugh & Co Solicitors, 4 Mill Green Business Estate, Mill Green Road, Haywards Heath, West Sussex RH16 1XO on 16 March 2021 at 11.45am, the following resolutions were passed: 1 and 3 as Special resolutions and 2 and 4 as Ordinary resolutions.

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That Jeremy Charles Frost (IP No. 9091) of Frost Group Limited, One Elmfield Park, Bromley BR1 1LU, be appointed Liquidator of the Company" and

3. "That the Liquidator be authorised to distribute any of the Company's assets in specie" and

4. "That the Liquidator be authorised to recover Category 2 expenses in accordance with his recovery policy disclosed to the members."
