Notice is hereby given, pursuant to Rule 15.13 of the Insolvency (England and Wales) Rules 2016, that the Administrator of the Company (the ‘convener’) is seeking a decision from creditors on the Administrator’s proposals by way of a virtual meeting. Creditors were originally invited to consider the Administrator’s Proposals by correspondence however they were also advised that they were able to object and request that a physical meeting be convened to consider the Administrator’s proposals.

Request for physical meeting to consider Administrator's Proposals: In accordance s246ZF Insolvency Act 1986 a request for a physical meeting has been received from the requisite number of creditors. The Administrator is required to convene a physical meeting of creditors to enable creditors to consider the Administrator’s proposals.

Coronavirus (COVID – 19): Due to the UK Government guidelines concerning the Coronavirus (COVID-19) pandemic including the lockdown measures and social distancing guidelines in force as the date of this Notice, after consider all relevant factors necessary for the convening of a physical meeting, I consider that I am unable to fulfil my obligations to host a physical meeting of creditors without breaching the current restrictions on public gatherings.

Virtual Meeting to be held: Holding a Virtual Meeting is the most appropriate qualifying decision procedure available in the current circumstances to consider the Administrator’s proposals in place of a physical meeting. The business of the Virtual Meeting will be conducted in accordance with rule 15.5 of the Insolvency (England and Wales) Rules 2016. Creditors who remotely attend the Virtual Meeting will be provided the ability to exercise any rights that they may have to speak and vote at the meeting.

Details for Virtual Meeting: The meeting will be held as a virtual meeting conducted by video conference on 2nd July 2020 at 10.00am. I intend to host this meeting via Zoom software.

I will require creditors or their representatives attending the meeting to register by no later than 16.00hrs on the business day before the date of the scheduled meeting. This is to comply with my obligations to identify any creditor or their representatives remotely attending the Virtual Meeting and to ensure the security of the Virtual Meeting.

I can confirm that the resolutions being sought are the same as previously circulated.

In order to be entitled to vote at the meeting, either in person or by proxy, creditors must lodge a statement of claim in writing at the offices of DFW Associates, 29 Park Square West, Leeds LS1 2PQ no later than 16.00 on the Business Day before the date of the Virtual Meeting, failing which their vote will be disregarded unless the Chair is content to accept the proof later. A creditor who has opted out from receiving notices, may nevertheless vote if the creditor provides a statement of claim in the same manner.

Secured creditors, unless they surrender their security, should also include a statement giving details of their security, the date on which it was given and the estimated value at which it is assessed. Creditors whose claims are for less than ÂŁ1,000 are also required to have submitted their claim if they wish to vote at the meeting.

Any creditor entitled to attend and vote at this meeting is entitled to do so either in person or by proxy and a form of proxy is enclosed. If you cannot attend and wish to be represented, a completed proxy form must be delivered to DFW Associates 29 Park Square West, Leeds LS1 2PQ or preferably by email to info@dfwassociates.co.uk before it can be used at the meeting.

The convener and chair of the meeting is the Administrator, David Frederick Wilson.

A complaint may be made in accordance with rule 15.38 to The Insolvency (England and Wales) Rules 2016. The complaint must be made as soon as reasonably practicable and, in any event, no later than 4pm on the business day following the day on which the person was, appeared or claimed to be excluded or where an indication is sought under rule 15.37, the day on which the complainant received the indication.

The Virtual Meeting may be suspended or adjourned by the Chair of the meeting and must be adjourned if it is so resolved by the meeting.

Creditors have the right to appeal any decision made by applying to Court under Rule 15.35 within 21 days of the Decision Date.
