At a General Meeting of the above-named Company, duly convened, and held at Calle 113, No. 7-80 Piso 17, Bogota D.C., Colombia on February 12, 2018, the subjoined Special & Ordinary Resolutions were passed, viz:-

SPECIAL RESOLUTIONS

1 That the Company be wound-up voluntarily and Malcolm Cohen of Messrs BDO LLP, 55 Baker Street, London W1U 7EU be appointed Liquidator for the purposes of such winding-up.

2 That the Liquidator be authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

ORDINARY RESOLUTION

1 That the Liquidator's fees be paid on a time costs basis.
