At a general meeting of the Members of the above-named Company, duly convened, and held at Wallhead Farm House, St Weonards, Hereford on 9 March 2021, the following resolutions were passed: 1 as a Special resolution and 3 as an Extraordinary resolution and 2, 4, as Ordinary resolutions.

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That D N Hughes of Janes, Priory Lodge, London Road, Cheltenham, be appointed Liquidator of the Company" and

3. "That the Liquidator be authorised to distribute any of the Company's assets in specie" and

4. "That the Liquidator's fees will be charged by reference to the time properly spent by them and their staff in dealing with the matters relating to the liquidation of the Company, plus disbursements plus VAT. The Joint Liquidators' time will be charged at the hourly charge out rate of the grade of staff undertaking the work at the time the work is undertaken" and
