RESOLUTION

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business and it is advisable to wind up the same; accordingly, that the Company be wound up voluntarily, and that Simon Girting and Kerry Bailey, Authorised Insolvency Practitioners, BDO LLP, 5th Floor, Bridgewater House, Counterslip, Bristol, BS1 6BX, be appointed Joint Liquidators for the purpose of such winding-up, and they may act jointly and severally."
