At a General Meeting of the Members of the above-named Company, duly convened, and held on 3 March 2017 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

"That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily".

"That Zelf Hussain and Matthew Boyd Callaghan of PricewaterhouseCoopers LLP be and are hereby appointed as Joint Liquidators of the company for the purpose of its winding up. That anything required or authorised to be done by the joint liquidators be done by both or either of them".

At the subsequent Meeting of Creditors held on 17 March 2017 the appointment of Zelf Hussain and Matther Boyd Callaghan as Joint Liquidators was confirmed.
