At a general meeting of the Members of the above-named company, duly convened, and held at 11a Dublin Street, Edinburgh EH1 3PG, on 11 August 2017 the following resolutions were passed: number 1 as a Special resolution and numbers 2, 3 and 4 as Ordinary resolutions.

Resolutions:

1. "PBS Project Management Limited cannot, by reason of its liabilities, continue its business and that the Company be wound up voluntarily" and

2. "That Claire Louise Middlebrook of Middlebrooks Business Recovery and Advice be appointed Liquidator of the Company and that she is authorised to act" and

3. "That the Liquidators' fees will be charged as a fixed amount of ÂŁ3,000 plus disbursements and VAT in relation to the preparation of the Statement of Affairs and the summoning, advertising and holding of the creditors meeting" and

4. "That the Liquidator be authorised to recover Category 2 expenses in accordance with their recovery policy disclosed to the Members."
