At a General Meeting of the Members of the above-named company, duly convened, and held on 15 November 2019 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:

1. That the Company be wound up voluntarily

2. That Michael Robert Fortune and Carl Derek Faulds of Portland Business Recovery & Financial Solutions Limited, 1580 Parkway, Solent Business Park, Whiteley, Fareham, Hampshire PO15 7AG be appointed Joint Liquidators of the Company.

The resolution of the members to appoint Joint Liquidators was superseded by the resolution of the creditors to appoint Ryan Davies of Moore Kingston Smith & Partners LLP, Devonshire House, 60 Goswell Road, London EC1M 7AD as Liquidator of the Company.
