Notice is hereby given, pursuant to Rule 15.13 of the Insolvency (England and Wales) Rules 2016, that the Joint Administrators of the above-named Companies (the 'conveners') are seeking a decision from creditors on the Joint Administrators' proposals by way of a physical meeting.

The meeting will be held at City Temple Conference Centre, Holborn Viaduct, London, EC1A 2DE on 1 October 2019 at 2.00 pm. As a result of the requirement to hold this physical meeting the original deemed consent procedure has been superseded. The Joint Administrators have discretion to permit remote attendance. Given the significant number of creditors (approximately 6,000) and their widespread geographical location, the Convener has concluded that remote attendance is not viable and hence not appropriate in these cases.

A creditor may appoint a proxy-holder to act as their representative and to speak, vote, abstain or propose resolutions at the meeting. A proxy for a specific meeting must be delivered to the Chairman before the meeting. A continuing proxy must be delivered to the Joint Administrators and may be exercised at any meeting which begins after the proxy is delivered. In order for proxies to be valid, they must be present at the physical meeting of creditors on 1 October 2019. They can be brought by the creditors or their proxy holder or they may be delivered to the Convener c/o Smith & Williamson LLP, 25 Moorgate, London, EC2R 6AY, or by email to Parkfirst@smithandwilliamson.com.

In order to be counted, a creditor's vote must be accompanied by a proof of debt ("PoD") in respect of the creditor's claim (unless it has already been given). A vote will be disregarded if a creditor's PoD in respect of their claim is not received by 4.00 pm on 30 September 2019, the business day before the meeting (unless the chair of the meeting is content to accept the PoD later.) A creditor who has opted out from receiving notices may nevertheless vote if the creditor provides a PoD in the requisite time frame. PoDs must be delivered to the Convener, Smith & Williamson LLP, 25 Moorgate, London, EC2R 6AY or by email to Parkfirst@smithandwilliamson.com.
