At a General Meeting of the above-named Company, duly convened and held at Charlotte House, Stanier Way, The Wyvern Business Park, Derby DE21 6BF on 4 December 2018 at 11.00 am, the following resolutions were passed as a Special resolution and Ordinary resolution respectively:-

Resolutions

1. "That the Company be wound up voluntarily" and

2. "That Nicola Joanna Meadows and Martin Frederick Peter Smith of Dains Business Recovery Limited be appointed Joint Liquidators of the Company and that they be authorised to act either jointly or separately" and

3. "That the Joint Liquidators be authorised to distribute any of the company's assets in specie" and

4. "That the Joint Liquidators' fees will be charged as a fixed amount of ÂŁ5,000 including disbursements plus VAT" and

5. "It is understood that the Director has instructed Dains LLP to prepare and submit all necessary returns tor the period from 1 September 2018 to the date of liquidation. The amount due in respect of this is to be shown as a creditor of the company in the declaration of solvency."
