I, the undersigned, being a member of the Company, entitled to receive notice of and to attend and vote at Members' Meetings pursuant to Chapter 2 of Part 13 of the Companies Act 2006, hereby pass on 29 August 2017 the following Written Resolutions as a Special Resolution and an Ordinary Resolution respectively, which for all purposes shall be as valid and effective as if the same had been passed at a Members' Meeting of the Company duly convened and held: "That the Company be wound up voluntarily and that Alan Fallows and Peter James Anderson of Kay Johnson Gee Corporate Recovery Limited, 1 City Road East, Manchester, M15 4PN, be appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up."

At the subsequent meeting of creditors held on 29 August 2017 the appointment of Alan Fallows and Peter James Anderson was not confirmed and Graham Stuart Wolloff (IP No. 8879) of Elwell Watchorn & Saxton LLP, 109 Swan Street, Sileby, Leicestershire, LE12 7NN was appointed as Liquidator.
