At a General Meeting of the above-named Company, duly convened, and held at 15 Main Street, Dickens Heath, Shirley, Solihull, B90 1UB on 10 October 2018, the following Resolutions were duly passed as a Special Resolution and an Ordinary Resolution:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Joseph Gordon Maurice Sadler (IP No. 9048) and David John Watchorn (IP No. 8686) both of Elwell Watchorn & Saxton LLP, 14 Regent Street, Nottingham, NG1 5BQ be and are hereby appointed Joint Liquidators for the purposed of such winding-up. Any act required or authorised under any enactment to be done by a liquidator, may be done by all or any one of them."
