"That the Partnership cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Partnership be wound up voluntarily and that Christopher John Ferguson (IP No. 22890) of RMT, Gosforth Park Avenue, Newcastle upon Tyne, NE12 8EG be appointed Liquidator for the purposes of such voluntary winding up."
