At a General Meeting of the above named company duly convened and held at Aubrey Park Hotel, Hemel Hempstead Road, Redbourn, Hemel Hempstead AL3 7AF on 3 March 2017 at 12.00 pm the following resolutions were duly passed, No 1 as a Special Resolution and No 2 and No 3 as Ordinary Resolutions respectively:

1. That it has been proved to the satisfaction of the Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it would be advisable to wind up the same and, accordingly, that the Company would be wound up voluntarily.

2. That Mark Beesley and Tracy Mary Clowry be and are hereby appointed Joint Liquidators for the purposes of such winding-up.

3. That the Joint Liquidators are to act as required or authorised under any enactment and such acts may be done by any one of them.
