At a General Meeting of the above-named company, duly convened, and held at Cumberland House, 35 Park Row, Nottingham, NG1 6EE on 28 April 2017, the subjoined Special Resolution was duly passed:

“That it has been proved to the satisfaction of this meeting that the company cannot by reason of its liabilities continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that Graham Stuart Wolloff (IP No. 8879) of Elwell Watchorn & Saxton LLP, Cumberland House, 35 Park Row, Nottingham, NG1 6EE and Mark Grahame Tailby (IP No. 9115) of MT Insolvency Limited, 21 High View Close, Hamilton, Leicester, LE4 9LJ be and are hereby appointed Joint Liquidators for the purposes of such winding-up.”
