The Members of the above-named Company passed the following resolutions: numbers 1 and 3 as Special resolutions and 2, 4 and 5 as Ordinary resolutions:

1. "That the Company be wound up voluntarily".

2. "That Andrew Shackleton and Colin Nicholls be appointed as Joint Liquidators of the Company and that they be authorised to act either jointly or separately".

3. "That the Joint Liquidators be authorised to distribute any of the Company`s assets in specie".

4. "That the Joint Liquidators` fees be charged as a fixed fee of ÂŁ4,500 plus expenses and VAT for dealing with all matters relating to the liquidation".

5. "That the Joint Liquidators be authorised to recover Category 2 expenses in accordance with their recovery policy disclosed to the Members".
