Pursuant to Part 13 of the Companies Act 2006, the following resolutions were passed by the members as special written resolutions on 24 October 2018:

1 “THAT the Company be wound up voluntarily and that Colin Scott of Geoghegans, 6 St Colme Street, Edinburgh EH3 6AD be and is hereby appointed Liquidator for the purposes of such winding-up.”

2 “THAT the Liquidator be and is hereby authorised to divide among the members in specie or kind the remaining assets of the Company and to exercise the powers set out in Part 1 of Schedule 4 of the Insolvency Act 1986.”
