At a General Meeting of the above-named Company, duly convened, and held at 96 Woodland Avenue, Hove, East Sussex, BN3 6BN on 16 February 2016 the following Resolutions were duly passed, as an Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company resolves by Special Resolution that it be wound up voluntarily, and that Stephen Franklin, of Panos Eliades Franklin & Co, Olympia House, Armitage Road, London, NW11 8RQ, be and is hereby appointed Liquidator of he Company for the purposes of the winding-up.” At the subsequent meeting of creditors held on 16 February 2016, David John Standish and John David Thomas Milsom (IP Nos. 8798 and 9241) both of KPMG LLP, 15 Canada Square, Canary Wharf, London, E14 5GL were appointed as Joint Liquidators by creditors resolution.
