Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company passed the following written resolutions on 21 June 2019, as Special Resolutions:

“That the Company be wound up voluntarily and that Graham Stuart Wolloff (IP No. 8879) and Mark Grahame Tailby (IP No. 9115) both of Elwell Watchorn & Saxton LLP, 109 Swan Street, Sileby, Leicestershire, LE12 7NN be appointed as Joint Liquidators for the purposes of such voluntary winding up."

The undersigned, being all the persons who are entitled to vote on the above resolutions on the date of circulation to them, irrevocably vote in favour of them.
