At a General Meeting of the members of the Company, duly convened and held on 15 April 2021 at 10.00 am at Director General's House, 15 Rockstone Place, Southampton, Hampshire, England, SO15 2EP, the following resolutions were passed as a special resolution and an ordinary resolution respectively:

"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its current and/or impending liabilities continue its business, and that it is advisable to wind up the same under an insolvent winding up procedure and that Kevin Brown (IP No. 17390) of ELS Advisory Limited, 31 Harrogate Road, Chapel Allerton, Leeds, LS7 3PD be and hereby is appointed as Liquidator of the Company for the purpose of the voluntary winding up."
