At an extraordinary general meeting of the above named company convened and held at the offices of Burton Sweet Corporate Recovery, First Floor, 141 Whiteladies Road, Clifton, Bristol BS8 2QB on 12 January 2017 the following special resolution numbered one and the ordinary resolution numbered two were passed:

1. “That the company cannot, by reason of its liabilities, continue its business and that the company be wound up voluntarily” and
