Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, I the undersigned, being the member of the Company who on 2 February 2021 the following written Resolutions were passed by the members of the company as a Special Resolution and as an Ordinary Resolution:

"That the Company be wound up voluntarily and that Gareth David Wilcox (IP No. 21052) and Joanne Kim Rolls (IP No. 8867) both of Opus Restructuring LLP, 1 Radian Court, Knowlhill, Milton Keynes, MK5 8PJ be and are hereby appointed Joint Liquidators of the Company and they be empowered to act jointly or severally in matters relating to the winding-up."
