Pursuant to Chapter 2 of Part 13 of the Companies Act 2006 ("Act"), the directors of the Company passed on 9 May 2017, the following resolutions as special resolutions:

"That the Munro & Forster Holdings Limited be wound up voluntarily under Section 84(1)(b) of the Insolvency Act 1986 and that, Neil John Maddocks (IP No. 9239) and Robert John Coad (IP No. 11010) both of Undebt.co.uk Ltd, 13-14 Orchard Street, Bristol, BS1 5EH be appointed without personal liability as Joint Liquidators of the Company, with the power to act jointly and severally in the carryingt out of their functions as Joint Liquidators, for the purpose of winding up the Company's affairs and distributing its assets."
