Pursuant to Chapter 2 of Part 13 of the Companies Act 2006, the directors of the Company passed the following written resolutions on 10 September 2018 as a Special Resolution and as Ordinary Resolutions respectively:

“That it has been proved to the satisfaction of this Meeting that the company is insolvent and that it is advisable to wind up the same, and, accordingly, that the company be wound up voluntarily and that Kenneth Pattullo and Kenneth Craig, both of Begbies Traynor (Central) LLP, Finlay House, 10-14 West Nile Street, Glasgow G1 2PP, (IP Nos 8368 and 8584) be and are hereby appointed Liquidators of the Company for the purpose of such winding-up and that any act required or authorised to be done by the liquidator may be performed by the liquidator for the time that they hold office.”
