At a General Meeting of the Company convened and held at 1 Wood End, Nash, Milton Keynes, MK17 0EL on 30 April 2020 at the following special resolution numbered one and ordinary resolutions numbered two and three were passed:

The following Special Resolution (1) together with the remaining Ordinary Resolution(s) were passed by the Members of the Company by written resolutions. The requisite voting majority was received on 30 April 2020.

1) That the Company be wound up voluntarily.

2) That Julie Webster and Jeremy Paul Oddie of Mitchell Charlesworth LLP, Centurion House, 129 Deansgate, Manchester, M3 3WR, be appointed joint liquidators of the Company for the purposes of the voluntary winding-up.

3) That any act required or authorised under any enactment to be done by the Liquidator may be done by all or any one or more of the persons for the time being holding such office.
