NOTICE UNDER THE INSOLVENCY (NORTHERN IRELAND) ORDER 1989

MML PROPERTIES (NEWRY) LIMITED

(“the Company”)

(Company Number NI618336)

Pursuant to Companies Act 2006 and Article 70 of the Insolvency (NI) Order 1989 the Members of the above named company passed the following written resolutions as Special (Resolution 1) and Ordinary Resolutions (Resolutions 2 to 4) on 8 April 2020:

SPECIAL RESOLUTION

1. THAT the Company be wound up by way of a members’ voluntary liquidation pursuant to Article 70(1)(b) of The Insolvency (Northern Ireland) Order 1989.

ORDINARY RESOLUTIONS

2. THAT Tom Keenan of Keenan Corporate Finance Ltd, 10th Floor Victoria House, 15-17 Gloucester Street, Belfast, BT1 4LS and Scott Murray of Keenan Corporate Finance Ltd, 10th Floor Victoria House, 15-17 Gloucester Street, Belfast, BT1 4LS be and are hereby appointed Joint Liquidators of the company. Any act required or authorised under any enactment to be done by a Liquidator may be done by any one of them.

3. THAT the Joint Liquidators be and are hereby authorised to distribute among the members in specie or in kind the whole or any part of the assets of the company and to determine how such divisions shall be carried out as between the members

4. THAT the Joint Liquidators be and are hereby authorised under the provisions of Article 140(2)(a) of the Insolvency (NI) order 1989 to exercise the powers laid down in Part 1 of Schedule 2 of the said order, namely to pay all creditors in full and to make compromises with creditors and debtors.
