The following special and ordinary resolutions were duly passed by way of written resolutions on 20 May 2020 pursuant to Chapter 2 of Part 13 of the Companies Act 2006:

SPECIAL RESOLUTIONS

1 That the Company be wound up voluntarily, that Malcolm Cohen and Jeremy Willmont of BDO LLP, 55 Baker Street, London W1U 7EU be and are hereby appointed joint liquidators of the Company ("Liquidators") for the purpose of such winding up and that any power conferred on them by law or by this resolution may be exercised, or any act required or authorised under any enactment to be done by them may be done, by both jointly or by each alone.

2 That the Liquidators be specifically authorised to enter into and carry into effect two reorganisation agreements (the "Reorganisation Agreements") pursuant to section 110 of the Insolvency Act 1986 and to transfer the whole or part of the business or the property of the Company and to receive in compensation or part compensation for any such transfer, shares, policies or other like interests in the transfer for distribution to the sole member of the Company in accordance with the provisions of the Reorganisation Agreements.

3 That the Liquidators be authorised to distribute in specie to the sole member all or any part of the Company's assets as they shall think fit in accordance with the Company's articles of association.

4 That the Liquidators be and are hereby authorised to pay any class of creditors in full.

ORDINARY RESOLUTION

5 That the remuneration for the Liquidators be fixed by reference to the time properly given by the Liquidators and their staff in attending to the matters arising in the winding up and that they be and are hereby authorised to draw such remuneration monthly or at longer intervals as they determine.
