At a Meeting of Members of the above-named LLP, duly convened, and held at 3pm on 24th November 2020 at 8 De Walden Court, 85 New Cavendish Street, London W1W 6XD, the subjoined DETERMINATIONS were duly made, viz: -

DETERMINATIONS:

1. THAT the Limited Liability Partnership be wound up voluntarily.

2. THAT Phillip Anthony Roberts of Sterling Ford be and is hereby appointed liquidator for the purposes of such winding up and that he shall be remunerated and his disbursements paid in accordance with Sterling Ford's Terms & Scale of Charges MVL(P) dated 1st February 2020.

3. THAT the Liquidator be and is hereby authorised to divide among the members in specie all or any part of the Limited Liability Partnership's assets.
