That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the company, and accordingly that the company be wound up voluntarily.

The Company also passed the following ordinary resolutions:

That David Ronald Taylor of RSM Restructuring Advisory LLP, Davidson House, The Forbury, Reading RG1 3EU and Terence Guy Jackson of RSM Restructuring Advisory LLP, Third Floor, One London Square, Cross Lanes, Guildford GU1 1 UN be and are hereby appointed Joint Liquidators for the purposes of such winding up.

That the Joint Liquidators are to act jointly and severally.
