By way of Written Resolution of the Members of the above-named Company, the following resolutions were passed by the Members: 1 as a Special Resolution and 2 as an Ordinary Resolution.

Resolutions

1. "That the Company be wound up voluntarily"; and

2. "That Simon Campbell and Carl Jackson, Licensed Insolvency Practitioners, be appointed Joint Liquidators of the Company and that they be authorised to act jointly and severally."
