At a Special Meeting of the Company, duly convened and held at the offices of Leather Matthews Restructuring LLP, 17th Floor, Cale Cross House, Pilgrim Street, Newcastle upon Tyne NE1 6SU on 03 March 2017 at 3.00 pm the following resolutions were duly passed as a Special Resolution and Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly the Company be wound up voluntarily and that Neil Matthews, of Leather Matthews Restructuring LLP, 17th Floor, Cale Cross House, Pilgrim Street, Newcastle upon Tyne NE1 6SU, (IP No. 6861) be appointed as Liquidator for the purposes of the winding up.”
