a SPECIAL RESOLUTION "that the company be wound up voluntarily."

and an ORDINARY RESOLUTION "that DANIEL JAMES (IP No 26292) and LAURENCE RUSSELL (IP No. 9199) of Albert Goodman LLP, Goodwood House, Blackbrook Park Avenue, Taunton, Somerset TA1 2PX be appointed joint liquidators of the company for the purpose of the voluntary winding-up and that any power conferred to them by law or by this resolution may be exercised, and any act required or authorised under any enactment to be done by them may be done, by them jointly or by each of them alone."
