RESOLUTIONS

• a special resolution 'that the company be wound-up voluntarily' and

• An ordinary resolution 'that Jean M Ellis of DSG Chartered Accountants, Castle Chambers, 43 Castle Street, Liverpool, L2 9TL, Tel: 0151 243 1200 (IP No. 9318) be and she is hereby appointed Liquidator for the purposes of such winding-up' and

• An ordinary resolution 'authorising the liquidator to distribute company assets in specie, if appropriate'
